Terms of Service
Key points at a glance
- Every project is governed by a signed proposal, SOW or agreement; these Terms fill the gaps.
- You own the custom deliverables after full payment; we keep our pre-existing tools, code libraries and know-how.
- Clients are responsible for their content, business, end users and regulatory compliance.
- Marketing and SEO results are never guaranteed; our liability is limited to fees paid.
This summary is for convenience only. The full text below is what applies.
Acceptance of these Terms
These Terms of Service ("Terms") govern your access to and use of www.multiforgex.com (the "Website"), and form part of every engagement under which MultiForgeX Solutions Private Limited ("MultiForgeX Solutions", "we", "us" or "our") provides services or software products to you ("Client", "you" or "your").
By using the Website, submitting an enquiry, accepting a proposal, making a payment or using any of our Products, you agree to these Terms. If you are accepting on behalf of an organisation, you confirm that you are authorised to bind that organisation. If you do not agree, please do not use the Website or our services.
This document is an electronic record under the Information Technology Act, 2000 and the rules made under it, and does not require a physical or digital signature to be binding.
Definitions
- "Services" means software development, web and mobile application development, UI/UX and graphic design, branding, hosting, maintenance, support, SEO, digital marketing, consulting and any other service we provide.
- "Products" means software products, SaaS platforms, templates, plugins and tools owned and offered by MultiForgeX Solutions under our own brand (currently Vidyam, WaveForge and ForgeScan), whether hosted by us or licensed for self-hosting.
- "Agreement" means any signed or accepted proposal, quotation, statement of work ("SOW"), master services agreement, order form or subscription plan, together with these Terms.
- "Deliverables" means the custom work product created specifically for you under an Agreement and identified as a deliverable in it.
- "Client Materials" means content, data, logos, trademarks, text, images, credentials, specifications and other materials you provide or make available to us.
- "Background IP" means all intellectual property owned or licensed by MultiForgeX Solutions before or independently of an Agreement, including frameworks, libraries, modules, components, starter kits, design systems, templates, scripts, tools, documentation, methodologies and know-how, and any improvements to them.
Use of the Website
You may use the Website only for lawful purposes. You must not:
- attempt to gain unauthorised access to the Website, our servers, admin panel or any connected system, or test their vulnerability without written permission;
- introduce malware, run automated scraping, flood forms, or interfere with the Website's operation;
- submit false, misleading or third-party information, or impersonate any person;
- copy, reproduce, frame or commercially exploit the Website's content, design or code without our prior written consent.
We may suspend access, block IP addresses or take legal action for any misuse.
Website content is not an offer
Content on the Website — including descriptions of services and products, case studies, statistics, pricing indications, blog articles and insights — is provided for general information only. It does not constitute an offer, a guarantee of results, or professional, legal, financial or technical advice for your specific situation. Case studies describe past engagements; outcomes depend on many factors and will differ for every client. A binding commitment arises only under a written Agreement.
How engagements work
- Order of precedence: if there is a conflict, a signed master services agreement prevails, then the SOW/proposal, then these Terms.
- Scope: we deliver only what is expressly described in the Agreement. Anything else — new features, extra pages, additional revisions, integrations, content writing, data migration or support beyond the stated period — is a change request and will be estimated and billed separately.
- Timelines: timelines are estimates based on timely inputs, feedback, approvals and payments from you. Delays caused by you, your vendors or third-party platforms extend the timeline accordingly and may attract re-scheduling charges.
- Approvals and acceptance: you will review each milestone or delivery within 7 business days. A milestone is deemed accepted if you do not report material, reproducible non-conformities with the agreed specification within that period, or if you use the Deliverable in production.
- Revisions: design and content revisions are limited to the number stated in the Agreement. Changes after approval are treated as change requests.
- Team: we decide which personnel and subcontractors perform the work and remain responsible for them.
Fees, invoices and payment
- Fees, milestones and payment schedules are set out in the Agreement. Unless stated otherwise, an advance is payable before work begins and invoices are due within 7 days.
- All fees are exclusive of GST and other applicable taxes, which you will pay in addition. Where you deduct tax at source, you will provide the TDS certificate promptly.
- Overdue amounts carry interest at 1.5% per month (or the maximum permitted by law, if lower) from the due date until payment.
- If any amount remains unpaid for 15 days after the due date, we may, after notice, suspend work, hosting, support or access to Products until payment is received, without liability for resulting downtime or delay.
- Third-party costs — such as domains, hosting, cloud usage, app store fees, paid plugins, licences, stock assets, SMS/email credits and advertising spend — are payable by you, directly or as reimbursement.
- Refunds are governed by our Refund & Cancellation Policy.
Intellectual property
Website content
The Website, its content, design, code, the MultiForgeX Solutions name, logo and other brand features are owned by or licensed to MultiForgeX Solutions Private Limited and protected by Indian and international intellectual property laws. No rights are granted to you except as expressly stated.
Client Materials
You retain ownership of your Client Materials. You grant us a non-exclusive, royalty-free licence to use, copy, modify and host them solely to perform the Agreement. You confirm that you own or have all necessary rights, licences and consents for the Client Materials and that our use of them as instructed will not infringe any third-party right or law.
Ownership of Deliverables
Upon receipt of full and final payment of all amounts due under the relevant Agreement, we assign to you all rights, title and interest in the Deliverables, excluding Background IP and third-party components. Until full payment is received, all rights in the Deliverables remain with MultiForgeX Solutions and you receive only a limited, revocable licence to evaluate them.
Background IP retained by us
MultiForgeX Solutions retains all rights in its Background IP, even if it is incorporated into a Deliverable. On full payment we grant you a non-exclusive, perpetual, royalty-free, non-transferable (except together with the Deliverable) licence to use the Background IP solely as part of, and as necessary to use, maintain and modify, the Deliverable. You may not separate, resell, sublicense or distribute Background IP as a standalone product.
Third-party and open-source components
Deliverables may include third-party software, open-source libraries, fonts, icons, APIs or stock assets. These are licensed to you under their respective licences, which you agree to comply with. Ownership of such components does not transfer to you, and we give no warranty in respect of them beyond passing through any warranty provided by the licensor.
Our Products
All Products, including their source code, databases, designs, documentation, updates and customisations made for the Product generally, remain the exclusive property of MultiForgeX Solutions Private Limited. Using or subscribing to a Product grants you a licence to use it, not ownership. Customisations developed exclusively for you will be treated as Deliverables only if the Agreement expressly says so.
Freedom to work for others
Nothing in any Agreement restricts MultiForgeX Solutions from developing, using or providing to other clients software, designs, products or services that are similar to the Deliverables, or from using the general skills, ideas, concepts, techniques and know-how retained in the unaided memory of our personnel, provided we do not use your Confidential Information or the specific Deliverables assigned to you.
Feedback
If you give us suggestions or feedback about our Products or services, we may use them freely without any obligation to you.
Portfolio and credit
Unless the Agreement or a signed non-disclosure agreement prohibits it, we may display your name, logo and non-confidential screenshots or descriptions of the work in our portfolio, case studies and marketing, and include a discreet developer credit (for example "Designed & developed by MultiForgeX Solutions") in the website footer. You may withdraw this permission in writing for future use.
Confidentiality
Each party will keep confidential all non-public business, technical and financial information received from the other ("Confidential Information"), use it only to perform the Agreement, and protect it with at least reasonable care. This does not apply to information that is or becomes public without breach, was already known, is independently developed, or must be disclosed by law (with prompt notice where permitted). These obligations survive for 3 years after the engagement ends, and indefinitely for trade secrets and source code.
Client responsibilities and compliance
You are solely responsible for:
- the nature, legality and conduct of your business, products and services, and all content published or processed through the Deliverables;
- obtaining any licences, registrations or regulatory approvals your business requires (for example from RBI, SEBI, IRDAI, health, education, gaming, telecom or e-commerce regulators) and ensuring the Deliverables are used in compliance with applicable law;
- your privacy policy, terms, refund policy and disclaimers for your end users, and for obtaining all consents for personal data you collect — you act as the Data Fiduciary and we act as your Data Processor;
- providing accurate requirements, timely feedback, content, test data and access to systems and third-party accounts;
- acceptance testing, backups of your own data, and the security of credentials and accounts you control;
- decisions you make based on our recommendations, reports or deliverables.
We are not responsible for reviewing the legality of your business model, content or instructions, and we may refuse or stop any work that we reasonably believe is unlawful, infringing, deceptive, harmful or contrary to these Terms.
Digital marketing, SEO and advertising
- Search rankings, traffic, leads, conversions, sales, followers, return on ad spend and other outcomes depend on factors outside our control — search engine and platform algorithms, competition, your product, pricing, website and market conditions. We do not guarantee any specific results, positions or timelines.
- Advertising platforms (Google, Meta, LinkedIn and others) may reject ads, limit reach or suspend accounts under their own policies. We are not liable for such actions, but will help you resolve them where possible.
- Ad spend is paid to the platforms and is non-refundable. You are responsible for the claims made about your products and must give us substantiation for any claim we are asked to publish.
- Projections, forecasts and benchmarks we share are estimates, not commitments.
Hosting, domains and third-party services
Where we arrange hosting, cloud infrastructure, domains, email, payment gateways, SMS, maps, AI or other third-party services, those services are provided by their respective providers under their own terms, uptime commitments and pricing. We are not liable for their outages, data loss, security incidents, price changes or discontinuation. Domains and third-party accounts should be registered in your name; where we register them on your behalf, we will transfer them to you once all dues are paid.
Our Products and subscriptions
- Licence: subject to payment of applicable fees, we grant you a non-exclusive, non-transferable, non-sublicensable right to use the Product during your subscription term for your internal business purposes, within the plan limits.
- Restrictions: you will not copy, modify, reverse engineer, decompile, resell, rent, white-label (unless your plan allows), or use the Product to build a competing product, or access it by automated means not provided by us.
- Your data: data you upload remains yours. You grant us the rights needed to host, process, back up and display it to provide the Product. You may export it during the subscription and for 30 days after it ends, after which we may delete it.
- Acceptable use: you are responsible for your users and their activity, and must not use the Product to store or send unlawful, infringing, defamatory, obscene or harmful content, spam, or malware.
- Messaging products (such as WaveForge): you are solely responsible for the content you send, for obtaining prior opt-in consent from every recipient, for honouring opt-out requests, and for complying with the WhatsApp Business and Commerce Policies, Meta's terms, TRAI regulations (including the Telecom Commercial Communications Customer Preference Regulations) and applicable law. Message delivery, template approval, pricing and account quality are controlled by Meta; we are not liable for blocked numbers, rejected templates, account restrictions or charges imposed by Meta or its providers.
- Scanning and translation features (such as ForgeScan): OCR and translation results are generated automatically and may contain errors. Verify important content before relying on it, and only scan documents you are entitled to use.
- Availability: we use commercially reasonable efforts to keep Products available and secure, but do not guarantee uninterrupted or error-free operation. Scheduled maintenance and service-level commitments, if any, are defined in your plan or Agreement.
- Changes: we continuously improve our Products and may add, change or remove features. Beta or preview features are provided "as is" without any commitment.
- Renewal: subscriptions renew for the same term unless cancelled before the renewal date. Fees may change on renewal with at least 30 days' notice.
Warranties and disclaimers
We will perform the Services with reasonable skill and care, in line with generally accepted industry practices. For custom software, we will fix, free of charge, reproducible defects that cause the Deliverable to materially deviate from the agreed specification and that are reported within 30 days of go-live (or the warranty period stated in the Agreement). This warranty does not cover issues caused by changes made by anyone other than us, third-party components, hosting environments, new browser or OS versions, misuse, or requirements not in the specification.
Except as expressly stated above, the Website, Services, Deliverables and Products are provided "as is" and "as available", and we disclaim all other warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, uninterrupted or error-free operation, and that any software is free from vulnerabilities. No security measure is perfect; we do not guarantee that systems will be immune from attacks or breaches.
Limitation of liability
To the maximum extent permitted by law:
- MultiForgeX Solutions will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, business, goodwill, data, anticipated savings or business interruption, however caused, even if advised of their possibility;
- our total aggregate liability arising out of or relating to an Agreement, the Services, Deliverables, Products or the Website, whether in contract, tort (including negligence) or otherwise, will not exceed the fees actually paid by you to us under the specific Agreement or subscription giving rise to the claim during the 3 months immediately preceding the event giving rise to liability;
- for use of the Website alone, without a paid Agreement, our liability is limited to INR 1,000;
- any claim must be notified to us in writing within 6 months of the event giving rise to it.
Nothing in these Terms limits liability that cannot be limited under applicable law, such as liability for fraud.
Indemnity
You agree to defend, indemnify and hold harmless MultiForgeX Solutions Private Limited, its directors, employees and subcontractors from and against all claims, demands, penalties, losses, damages, costs and expenses (including reasonable legal fees) arising out of or relating to: (a) Client Materials or your instructions; (b) your business, products, services, content or end users; (c) your breach of these Terms, an Agreement or applicable law, including data protection, consumer protection, advertising and sector-specific regulations; (d) any claim that Client Materials infringe third-party rights; or (e) use of the Deliverables or Products by you or your users in a manner not authorised by us.
We will indemnify you against third-party claims that a Deliverable created solely by us (excluding Client Materials, Background IP licensed from third parties and open-source components) infringes a registered Indian copyright, provided you notify us promptly, let us control the defence and cooperate. Our obligations under this indemnity are subject to the limitation of liability above and are your sole remedy for infringement.
Non-solicitation
During an engagement and for 12 months after it ends, you will not directly or indirectly hire or engage any employee or contractor of MultiForgeX Solutions who worked on your project, without our written consent. If you do, you agree to pay us a placement fee equal to 50% of that person's annual gross compensation offered by you, as a genuine pre-estimate of our loss.
Suspension and termination
- Either party may terminate an Agreement by written notice if the other materially breaches it and fails to cure the breach within 15 days of notice, or becomes insolvent.
- You may terminate for convenience with 30 days' written notice, subject to the Agreement and our Refund & Cancellation Policy.
- On termination, you will pay for all work performed and costs committed up to the termination date. We will hand over completed and paid-for Deliverables and your data, and IP transfer applies only to the portions paid for in full.
- Clauses on fees, intellectual property, confidentiality, disclaimers, limitation of liability, indemnity, non-solicitation and dispute resolution survive termination.
Force majeure
Neither party is liable for delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including natural disasters, epidemics, war, riots, government action, internet or power failures, cyber attacks, failures of cloud or telecom providers, or strikes. The affected party will notify the other and resume performance as soon as possible. If the event continues for more than 60 days, either party may terminate the affected Agreement.
Governing law and dispute resolution
These Terms and every Agreement are governed by the laws of India. The parties will first try to resolve any dispute amicably through good-faith negotiation between senior representatives for 30 days.
Disputes not so resolved will be referred to final and binding arbitration by a sole arbitrator appointed by mutual agreement of the parties (failing which, in accordance with the Arbitration and Conciliation Act, 1996). The seat and venue of arbitration will be Patna, Bihar, India, and the proceedings will be in English. Subject to the foregoing, the courts at Patna, Bihar have exclusive jurisdiction, including for interim relief. We may also seek urgent injunctive relief to protect our intellectual property or Confidential Information in any competent court.
General
- Entire agreement: the Agreement and these Terms are the entire understanding between the parties about their subject matter and supersede prior discussions.
- Independent contractors: nothing creates a partnership, joint venture, agency or employment relationship.
- Assignment: you may not assign an Agreement without our consent. We may assign it to an affiliate or successor, or subcontract parts of the work.
- Severability and waiver: if any provision is held invalid, the rest remains in force; failure to enforce a right is not a waiver.
- Notices: notices must be in writing and sent by email to the addresses in the Agreement (for us, info@multiforgex.com) or by registered post.
- Changes: we may update these Terms by posting a new version on this page. Changes do not affect Agreements already signed unless the parties agree otherwise.
